These Terms of Use (“Terms”) govern your access to and use of the HomeSync mobile application, website, software, platform, content, features, subscriptions, and related services (collectively, the “Services”) provided by HomeSync App, LLC (“HomeSync,” “we,” “us,” or “our”).

By downloading, accessing, creating an account, subscribing to, or using HomeSync, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.

HomeSync is designed to help homeowners, property owners, real estate professionals, home service providers, contractors, and other users organize property-related information, store homeownership documents, track maintenance, manage service records, and facilitate connections between homeowners and professionals.

These Terms include important disclaimers, limitations of liability, subscription terms, and dispute-resolution provisions. Please read them carefully.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or use HomeSync.

  • You are legally able to enter into these Terms;
  • You will use the Services only for lawful purposes;
  • The information you provide is accurate and current;
  • You have the authority to upload, store, manage, or share any property information, documents, photos, records, or other content you submit to HomeSync; and
  • Your use of the Services will not violate any applicable law, regulation, contract, property right, privacy right, intellectual property right, or other third-party right.

2. Description of Services

HomeSync may provide tools and features that allow users to:

  • Create and manage user accounts;
  • Add and manage one or more properties, subject to the user’s applicable subscription plan;
  • Store, organize, and access property-related documents;
  • Upload insurance policies, warranties, permits, receipts, inspection reports, closing documents, repair invoices, photos, notes, and other records;
  • Track maintenance, repairs, service history, warranties, and property-related tasks;
  • Receive reminders, alerts, maintenance suggestions, or other property-related notifications;
  • Connect with home service providers, contractors, vendors, real estate professionals, and other third-party professionals;

  • Use other tools, features, integrations, or services that HomeSync may make available from time to time.

HomeSync may modify, improve, suspend, remove, replace, or discontinue any feature or portion of the Services at any time, subject to applicable law.

3. HomeSync Is an Organizational Platform

HomeSync is a technology, organizational, document-management, property-maintenance, and connection platform.

HomeSync is not a law firm, insurance company, title company, mortgage company, lender, appraisal company, property inspection company, contractor, construction company, engineering firm, architectural firm, government records office, tax advisor, financial advisor, or real estate brokerage.

Unless expressly stated otherwise in writing, HomeSync does not provide:

  • Legal advice;
  • Tax advice;
  • Insurance advice;
  • Financial advice;
  • Construction advice;
  • Engineering advice;
  • Architectural advice;
  • Appraisal opinions;
  • Home inspection reports;
  • Title opinions;
  • Permit approvals or guarantees;
  • Real estate brokerage services;
  • Emergency services; or
  • Government records verification.

Information, reminders, maintenance suggestions, provider listings, document categories, checklists, alerts, estimates, prompts, or other content provided through HomeSync are intended for general informational and organizational purposes.

Users remain responsible for obtaining advice and services from appropriately qualified professionals when necessary.

4. Accounts and Account Security

Certain HomeSync features require an account.

You agree to provide accurate, complete, and current information and to update that information when necessary.

You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activity occurring under your account;
  • Controlling access to devices on which you use HomeSync;
  • Controlling who you authorize to access your property or account;
  • Ensuring invited users access only information they are authorized to view; and
  • Promptly notifying HomeSync if you suspect unauthorized access, account compromise, or misuse.

You may not share credentials in a manner that circumvents subscription limitations or allows unauthorized users to access the Services.

HomeSync may suspend, restrict, or terminate accounts that violate these Terms, create material risk, involve fraudulent activity, misuse the Services, or may expose HomeSync or its users to harm or liability.

5. User Content and Uploaded Documents

“User Content” means information, documents, photos, records, notes, messages, property information, business information, profile information, maintenance records, transaction information, service requests, or other materials you upload, submit, store, share, or otherwise provide through HomeSync.

Ownership

You retain ownership of your User Content.

By submitting User Content, you grant HomeSync a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, and otherwise use that content only as reasonably necessary to provide, maintain, secure, support, and improve the Services or comply with applicable law.

HomeSync does not obtain ownership of your property documents merely because they are stored through the Services.

Your Responsibilities

You represent and warrant that:

  • You own or have appropriate authority to upload and use your User Content;
  • Your User Content does not violate another person’s rights;
  • You will not knowingly upload fraudulent or unlawful information;
  • You will not upload malicious software, viruses, corrupted files, or harmful code; and
  • You will not upload information you are legally prohibited from possessing, storing, or sharing.

HomeSync does not guarantee the accuracy, completeness, legality, authenticity, validity, enforceability, or current status of User Content.

You are responsible for reviewing and maintaining your records.

6. Sensitive Documents and Information

HomeSync may be used to store property-related documents containing sensitive personal, financial, insurance, legal, identification, or property information.

Users should exercise care when uploading sensitive documents.

Unless specifically necessary for a HomeSync feature, users should avoid uploading unnecessary highly sensitive information such as:

  • Social Security numbers;
  • Full bank account numbers;
  • Passwords;
  • Private encryption keys;
  • Unrelated medical information; or
  • Other highly sensitive information unrelated to managing the property.

HomeSync is not responsible for consequences resulting from a user’s voluntary decision to upload, disclose, or share sensitive information the user was not required to provide.

7. Document Storage, Backups and Availability

HomeSync is intended to make managing property records easier. It should not be considered the sole permanent repository for irreplaceable documents.

Users should maintain independent copies of important documents, including:

  • Insurance policies;
  • Closing documents;
  • Warranties;
  • Permits;
  • Inspection reports;
  • Legal documents;
  • Tax records; and
  • Significant repair or renovation records.

Although HomeSync uses reasonable measures designed to maintain availability and security, no digital storage system can guarantee uninterrupted availability or permanent preservation.

HomeSync does not guarantee that User Content will always be available, recoverable, uninterrupted, error-free, or permanently stored.

To the maximum extent permitted by applicable law, HomeSync will not be responsible for loss, corruption, deletion, or unavailability of User Content resulting from circumstances outside HomeSync’s reasonable control.

8. Connections With Home Service Providers

HomeSync may allow homeowners and other users to discover, contact, communicate with, request information from, or otherwise connect with home service providers.

Unless expressly stated otherwise, home service providers available through HomeSync are independent third parties.

They are not employees, agents, representatives, partners, franchisees, or joint venturers of HomeSync.

Any agreement for services is between the homeowner or requesting user and the provider unless HomeSync expressly agrees otherwise in a separate written agreement.

HomeSync does not control a provider’s:

  • Pricing;
  • Estimates;
  • Scheduling;
  • Workmanship;
  • Employees or subcontractors;
  • Safety procedures;
  • Warranties;
  • Contract terms;
  • Permitting obligations;
  • Project performance; or
  • Completion of services.

Users are responsible for evaluating providers and reviewing pricing, contracts, scope of work, insurance, licensing, warranties, permits, and other relevant information before authorizing work.

9. Home Service Provider Accounts, Eligibility and Standards

HomeSync is committed to maintaining a network of home service providers that meets the quality, professionalism, safety, and service standards established by HomeSync.

Home service providers, contractors, vendors, and other professionals applying to participate in HomeSync must provide accurate, complete, and current information concerning their business, services, qualifications, and credentials.

Where applicable, providers agree that they will:

  • Maintain all licenses, registrations, certifications, insurance, bonds, and permits required for their services;
  • Comply with applicable federal, state, and local laws, regulations, building codes, licensing requirements, and professional standards;
  • Accurately represent their services, qualifications, experience, service areas, pricing, availability, and credentials;
  • Communicate honestly, respectfully, and professionally with HomeSync users;
  • Perform services in a lawful, safe, competent, and professional manner;
  • Respond appropriately to customer concerns and complaints;
  • Not engage in fraudulent, deceptive, misleading, discriminatory, abusive, threatening, or otherwise inappropriate conduct;
  • Not use HomeSync to spam, harass, improperly solicit, or exploit users;
  • Not misrepresent their identity, business affiliation, licensing status, insurance coverage, qualifications, reviews, or experience;
  • Promptly update HomeSync if material business information, licenses, registrations, insurance coverage, service areas, ownership, or contact information changes; and
  • Cooperate with reasonable HomeSync requests relating to verification, complaints, platform safety, or compliance.

Provider Acceptance

Submitting an application, creating an account, satisfying minimum licensing or insurance requirements, or paying an application, subscription, membership, or other fee does not guarantee acceptance into or continued participation in HomeSync.

HomeSync reserves the right, in its reasonable discretion and to the extent permitted by applicable law, to approve or decline a home service provider applying to participate on the platform.

HomeSync may consider factors including:

  • Licensing and registration status;
  • Insurance coverage;
  • Professional qualifications;
  • Business history;
  • Customer reviews and ratings;
  • Customer complaints;
  • Service history;
  • Professional conduct;
  • Responsiveness;
  • Reputation;
  • Accuracy of information provided to HomeSync;
  • Service quality;
  • Safety concerns; and
  • Compliance with HomeSync’s standards and these Terms.

HomeSync is not obligated to accept a provider merely because the provider satisfies minimum legal requirements or is willing to pay applicable HomeSync fees.

Ongoing Provider Standards

Acceptance onto HomeSync is not permanent or unconditional.

Providers must continue to meet applicable HomeSync standards for service, professionalism, conduct, eligibility, licensing, insurance, customer experience, and platform participation.

HomeSync may periodically reevaluate providers using information reasonably available to HomeSync, including updated licensing information, insurance status, customer feedback, complaints, reported conduct, service history, platform activity, and other relevant information.

Suspension, Declination or Removal

HomeSync reserves the right, in its reasonable discretion and to the extent permitted by applicable law, to suspend, restrict, decline renewal of, or remove a provider if HomeSync determines that the provider no longer meets applicable standards or otherwise presents a material concern for HomeSync or its users.

Reasons may include:

  • Expired, suspended, revoked, or invalid licenses;
  • Required insurance that has expired or been cancelled;
  • Materially inaccurate or misleading information;
  • Repeated or significant customer complaints;
  • Material service-quality concerns;
  • Unsafe, unlawful, fraudulent, deceptive, discriminatory, abusive, or unprofessional conduct;
  • Failure to comply with applicable laws;
  • Misuse of HomeSync;
  • Failure to pay applicable fees;
  • Conduct creating material safety, legal, operational, or reputational risk; or
  • Violation of these Terms.

Where appropriate, HomeSync may investigate complaints or request additional information before determining whether continued participation is appropriate.

HomeSync is not obligated to independently investigate or resolve every dispute between a provider and a user.

Suspension or removal does not relieve a provider of obligations arising from previously performed services, contracts with customers, warranties, amounts owed, or applicable legal requirements.

No Guarantee or Endorsement

HomeSync’s acceptance, screening, verification, continued listing, or display of a provider does not constitute a guarantee, warranty, certification, recommendation, or endorsement of that provider or its services.

Any verification performed by HomeSync reflects information reasonably available at the time of verification and does not guarantee that the information will remain accurate or current.

Users remain responsible for determining whether a provider is appropriate for their needs.

10. Real Estate Professional Accounts and Use

HomeSync may provide tools for real estate agents, brokers, transaction coordinators, and other real estate professionals.

These tools may assist with client organization, property information, document sharing, transaction tracking, communication, and property-record management.

HomeSync does not replace the responsibilities of a licensed real estate professional, brokerage, attorney, title company, lender, inspector, appraiser, insurance professional, or other transaction professional.

Real estate professionals are responsible for:

  • Maintaining required licenses;
  • Complying with applicable brokerage requirements;
  • Complying with MLS rules where applicable;
  • Complying with fair housing laws;
  • Complying with applicable RESPA requirements;
  • Obtaining required client authorization;
  • Protecting confidential information;
  • Ensuring document and transaction accuracy;
  • Using required or approved forms;
  • Maintaining legally or professionally required records; and
  • Ensuring their use of HomeSync complies with agreements with clients, brokerages, MLS organizations, associations, and third parties.

HomeSync is not responsible for a real estate professional’s licensing compliance, agency obligations, commissions, disclosures, escrow responsibilities, transaction outcomes, brokerage duties, or professional conduct.

11. Maintenance Reminders, Home Information and Predictive Features

HomeSync may provide maintenance reminders, property-task suggestions, seasonal checklists, warranty reminders, service recommendations, estimated lifecycle information, predictive alerts, or other automated or semi-automated information.

These tools are intended to assist with organization and planning.

Actual maintenance needs and equipment or material lifespans may vary significantly based on:

  • Property location;
  • Climate;
  • Installation;
  • Manufacturer;
  • Product quality;
  • Usage;
  • Maintenance history;
  • Weather;
  • Construction method;
  • Building code;
  • Property condition; and
  • Other circumstances.

HomeSync does not guarantee that a maintenance interval, lifecycle estimate, reminder, recommendation, or alert is appropriate for a particular property.

Users should follow manufacturer recommendations and consult qualified professionals when appropriate.

HomeSync does not guarantee that use of these features will prevent property damage, equipment failure, insurance claims, safety incidents, repair expenses, or loss.

12. Home History and Property Records

HomeSync may help users build and maintain an organized history of their property, including maintenance, improvements, repairs, warranties, service providers, documents, and other records.

HomeSync does not guarantee that maintaining such records will increase a property’s market value, appraisal value, insurability, marketability, or sale price.

Property records available through HomeSync should not be interpreted as an official property condition report, seller disclosure, appraisal, inspection, title report, or warranty.

13. Emergency Disclaimer

HomeSync is not an emergency-response service.

Do not rely on HomeSync to contact police, fire departments, emergency medical services, utility providers, disaster-response agencies, security services, or emergency contractors.

In an emergency, call 911 or the appropriate local emergency service.

HomeSync is not responsible for delays, failures, missed notifications, or inability to respond to emergency or urgent property conditions.

14. Subscriptions, In-App Purchases and Payments

HomeSync may offer free functionality, trials, paid subscriptions, premium features, home service provider memberships, real estate professional plans, or other paid Services.

For purchases made through the Apple App Store, billing is processed by Apple.

Users are responsible for reviewing:

  • Subscription price;
  • Billing frequency;
  • Subscription tier;
  • Included features;
  • Renewal terms; and
  • Cancellation requirements.

Unless otherwise disclosed:

  • Subscriptions may automatically renew;
  • Payment may be charged to the user’s Apple ID or applicable payment method;
  • Users may manage or cancel eligible subscriptions through their Apple account settings;
  • Deleting HomeSync does not automatically cancel a subscription;
  • HomeSync does not receive full payment-card information from Apple; and
  • Refund requests for App Store purchases may be subject to Apple’s policies.

HomeSync may modify subscription pricing, tiers, features, or availability subject to applicable law and applicable app-store requirements.

15. Trials and Promotional Offers

HomeSync may offer trials, discounted subscriptions, launch promotions, referral offers, provider promotions, real estate professional promotions, or other incentives.

Offers may be limited by eligibility, time, account type, location, subscription status, or other stated conditions.

Unless otherwise disclosed, a trial subscription may convert to a paid subscription at the end of the trial period unless cancelled before the applicable deadline.

HomeSync may modify or discontinue promotions subject to applicable law and commitments already made to participating users.

16. Communications and Notifications

By creating a HomeSync account, you may receive transactional and service-related communications necessary to operate your account, such as:

  • Account notices;
  • Security alerts;
  • Maintenance reminders;
  • Document notifications;
  • Subscription information;
  • Service-request updates; and
  • Important changes to the Services.

Where required by law, marketing communications will be subject to applicable consent and opt-out requirements.

Users may be able to control certain notification preferences through HomeSync or device settings.

Disabling notifications may prevent you from receiving reminders or other useful HomeSync alerts.

17. Acceptable Use

You agree not to misuse HomeSync.

You may not:

  • Use the Services for unlawful, fraudulent, abusive, harmful, or deceptive purposes;
  • Upload unlawful, infringing, defamatory, threatening, discriminatory, or fraudulent content;
  • Violate another person’s privacy, intellectual property, contractual, or property rights;
  • Access another user’s account without authorization;
  • Attempt to bypass authentication, subscriptions, payment systems, security measures, or access controls;
  • Reverse engineer or improperly exploit HomeSync except where applicable law expressly permits it;
  • Introduce viruses, malware, spyware, ransomware, corrupted files, or harmful code;

  • Harass, threaten, abuse, discriminate against, or exploit users;
  • Send unlawful spam or unsolicited communications;
  • Misrepresent your identity, affiliation, qualifications, licensing, insurance, or authority;
  • Violate fair housing, consumer protection, professional licensing, advertising, or real estate laws;
  • Upload information you are not authorized to possess or share; or
  • Use HomeSync in a manner that creates unreasonable risk to HomeSync, its users, or third parties.

HomeSync may suspend or terminate access for violations.

18. Reviews, Ratings and User Feedback About Providers

HomeSync may permit users to provide ratings, reviews, complaints, comments, or other feedback concerning home service providers or other professionals.

Users submitting feedback agree that their submissions will reflect their genuine experience and will not knowingly contain false, defamatory, fraudulent, threatening, discriminatory, or unlawful information.

HomeSync may moderate, decline, restrict, or remove content that violates these Terms or applicable law.

HomeSync does not necessarily endorse opinions expressed in user reviews.

19. Intellectual Property

HomeSync and its associated software, design, interface, branding, trademarks, logos, graphics, text, icons, features, workflows, proprietary systems, and other materials are owned by HomeSync or its licensors and protected by applicable intellectual property laws.

Subject to these Terms, HomeSync grants you a limited, revocable, non-exclusive, non-transferable license to use the Services according to your account type and subscription.

You may not copy, modify, sell, sublicense, distribute, reverse engineer, create derivative works from, or commercially exploit HomeSync’s intellectual property without written authorization, except where applicable law expressly permits otherwise.

20. Feedback and Suggestions

If you voluntarily provide ideas, suggestions, feature requests, improvements, concepts, or other feedback about HomeSync, you grant HomeSync the right to use, develop, modify, implement, and commercialize that feedback without compensation or obligation to you.

This provision does not transfer ownership of your property documents or other User Content to HomeSync.

21. Third-Party Services

HomeSync may use, integrate with, or link to third-party services, including:

  • Cloud infrastructure;
  • Authentication services;
  • Analytics;
  • Crash reporting;
  • Subscription-management systems;
  • Payment services;
  • Mapping services;
  • Communication providers;
  • Government or licensing databases; and
  • Other technology providers.

Third-party services may be governed by separate terms and privacy policies.

HomeSync is not responsible for the independent actions, availability, security practices, content, errors, fees, or policies of third-party services it does not control.

22. Privacy

HomeSync’s collection, use, storage, disclosure, and protection of personal information are governed by the HomeSync Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

Users should review the Privacy Policy before using the Services.

23. No Warranty

To the maximum extent permitted by law, HomeSync and the Services are provided on an “as is” and “as available”basis.

HomeSync disclaims warranties to the extent permitted by applicable law, including warranties regarding:

  • Merchantability;
  • Fitness for a particular purpose;
  • Non-infringement;
  • Accuracy;
  • Reliability;
  • Availability;
  • Error-free operation;
  • Data preservation;
  • Provider performance;
  • Property condition;
  • Transaction success;
  • Maintenance outcomes; and
  • Suitability for a user’s particular needs.

HomeSync does not warrant that the Services will always be uninterrupted, secure, complete, accurate, current, or compatible with every device or system.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

24. Limitation of Liability

To the maximum extent permitted by applicable law, HomeSync App, LLC and its owners, members, managers, officers, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to use of the Services.

This may include losses involving:

  • Lost profits or revenue;
  • Lost or unavailable data;
  • Lost documents;
  • Business interruption;
  • Property damage;
  • Repair expenses;
  • Transaction losses;
  • Insurance-related losses;
  • Provider disputes;
  • Loss of goodwill; or
  • Reliance upon information provided through the Services.

To the maximum extent permitted by law, HomeSync’s aggregate liability for a claim arising from the Services or these Terms will not exceed the greater of:

(a) the amount the claimant paid directly to HomeSync during the three months preceding the event giving rise to the claim; or
(b) $100.

Some jurisdictions do not permit certain liability exclusions or limitations. Where prohibited, these limitations apply only to the maximum extent permitted by law.

25. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless HomeSync App, LLC and its owners, members, managers, officers, employees, contractors, agents, affiliates, licensors, and service providers from claims, losses, liabilities, damages, costs, and reasonable attorneys’ fees arising from or relating to:

  • Your misuse of the Services;
  • Your User Content;
  • Your violation of these Terms;
  • Your violation of applicable law or another person’s rights;
  • Your interaction, agreement, transaction, or dispute with a provider, professional, user, or third party;
  • Your professional services if you are a provider or real estate professional;
  • Your failure to maintain required licenses, insurance, permits, or regulatory compliance;
  • Materially inaccurate or fraudulent information you provide; or
  • Your negligence, fraud, misconduct, or unlawful acts.

26. Account Suspension and Termination

You may stop using HomeSync at any time.

HomeSync may suspend, restrict, or terminate an account when reasonably necessary if:

  • These Terms are violated;
  • Fraudulent or unlawful activity is suspected;
  • Required fees remain unpaid;
  • The account creates material security, legal, financial, operational, or reputational risk;
  • Another user’s rights are being violated;
  • A provider fails to maintain HomeSync standards;
  • HomeSync is required to do so by law; or
  • Continued access would materially threaten HomeSync, users, or third parties.

Termination does not eliminate obligations that arose before termination.

Sections concerning ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and other provisions intended by their nature to survive will remain effective after termination.

27. Account and Data Deletion

Users may request deletion of their account through any available in-app deletion feature or by contacting HomeSync.

Deleting an account may permanently remove access to:

  • Uploaded documents;
  • Property profiles;
  • Maintenance history;
  • Service records;
  • Provider profiles;
  • Real estate professional tools; and
  • Other stored information.

Users are responsible for saving copies of important documents before requesting deletion.

Deletion may not immediately remove information from backups, security logs, legal records, transaction records, payment records, fraud-prevention systems, or information HomeSync is required or permitted to retain by law.

Additional information regarding data deletion is provided in the Privacy Policy.

28. Apple App Store Terms

If you download HomeSync through the Apple App Store, you acknowledge that:

  • These Terms are between you and HomeSync, not Apple;
  • Apple is not responsible for HomeSync or its content;
  • Apple has no obligation to provide maintenance or support for HomeSync;
  • Your use must comply with applicable Apple App Store terms; and
  • Apple and its subsidiaries may be third-party beneficiaries of these Terms to the extent required by Apple’s terms.

Purchases and subscriptions processed through Apple may also be governed by Apple’s applicable terms and policies.

29. Updates and Changes to HomeSync

HomeSync may release updates, patches, security improvements, bug fixes, new functionality, or other modifications.

Some updates may be required to continue using the Services.

HomeSync may change, suspend, limit, or discontinue features, plans, integrations, or portions of the Services, subject to applicable law and existing contractual obligations.

30. Changes to These Terms

HomeSync may update these Terms from time to time.

When updated, the effective date at the beginning of these Terms will be revised.

If a change is material, HomeSync may provide additional notice through the app, website, email, or another reasonable method.

Where required by applicable law, HomeSync will obtain consent to materially revised terms.

Continued use after updated Terms become effective constitutes acceptance where permitted by law.

31. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable federal law or another jurisdiction’s mandatory consumer-protection law requires otherwise.

Subject to the dispute-resolution provisions below, legal proceedings relating to these Terms or the Services will be brought in an appropriate state or federal court located in Hillsborough County, Florida, to the extent legally permitted.

32. Dispute Resolution

Before initiating formal legal proceedings, you and HomeSync agree to make a good-faith attempt to resolve the dispute informally.

A user seeking to raise a dispute should contact:

support@homesync.pro

The notice should reasonably describe:

  • The user’s name;
  • Account email;
  • Nature of the dispute;
  • Relevant facts; and
  • Requested resolution.

The parties will have 30 days after receipt of the notice to attempt an informal resolution before either party initiates formal proceedings, unless immediate action is legally necessary.

33. Individual Claims

To the extent permitted by applicable law, you and HomeSync agree that disputes will be pursued on an individual basis rather than as a class, collective, consolidated, or representative action.

Nothing in this section limits rights that cannot legally be waived.

HomeSync should have Florida legal counsel review this provision before publication, particularly if HomeSync intends to implement mandatory arbitration or a formal class-action waiver.

34. Force Majeure

HomeSync will not be responsible for delays, interruptions, failures, or inability to perform caused by events outside its reasonable control, including:

  • Hurricanes;
  • Floods;
  • Fires;
  • Natural disasters;
  • Severe weather;
  • War or terrorism;
  • Government actions;
  • Labor disputes;
  • Utility failures;
  • Internet outages;
  • Cyberattacks;
  • Pandemics;
  • App-store outages;
  • Cloud-service failures; or
  • Other events beyond HomeSync’s reasonable control.

35. Assignment

You may not assign or transfer your rights or obligations under these Terms without HomeSync’s prior written consent.

HomeSync may assign or transfer these Terms in connection with a merger, acquisition, financing, corporate restructuring, sale of assets, or similar business transaction.

36. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permissible, and the remaining provisions will continue in effect.

37. No Waiver

HomeSync’s failure to enforce a provision of these Terms does not waive its right to enforce that provision or another provision in the future.

38. Entire Agreement

These Terms, together with the HomeSync Privacy Policy and any additional terms or policies expressly incorporated into them, constitute the agreement between you and HomeSync regarding use of the Services.

Specific programs, promotions, professional accounts, integrations, or features may be subject to additional terms.
